1. Agreement Overview

These Terms and Conditions (“Agreement”) govern participation in the La Bastlera Affiliate Program (“Program”). By joining the Program, you (“Affiliate”) agree to be bound by these terms. Affiliates act as independent contractors and not as employees, partners, or agents of La Bastlera.

2. Eligibility

  • Participation is subject to La Bastlera’s approval and may be refused at La Bastlera’s sole discretion.
  • The Program is intended for business entities and self-employed persons capable of issuing valid invoices.
  • Affiliate must provide accurate, current contact and payout information and update it as needed.

3. Qualifying Purchases

A Qualifying Purchase is a valid, completed, and paid order by a customer who:

  • uses the Affiliate’s unique referral link within a 30-day cookie window, or
  • uses the Affiliate’s assigned coupon code at checkout during the coupon’s validity.

Excluded from Qualifying Purchases:

  • self-referrals or purchases by the Affiliate, close relatives, or associates;
  • orders canceled, refunded, or returned within the return/refund period;
  • fraudulent, incentivized, or misleading traffic;
  • sales originating from coupon aggregator/deal directory websites;
  • brand-bidding traffic using La Bastlera trademarks or misspellings.

Commissions are calculated from the net sales price excluding VAT, shipping fees, and any applied discounts.

4. Commission

  • Standard commission rate: 10% of Qualifying Purchases.
  • La Bastlera may adjust commission rates for specific products or campaigns upon prior notice.

5. Payouts

  • Schedule: Net 30 (within 30 days after the end of the month in which sales are confirmed).
  • Minimum threshold: EUR 50 / CZK 1,250 (balances roll over until reached).
  • Methods: Bank transfer or PayPal.
  • Fees: Payment processing fees (PayPal, bank charges) are borne by the Affiliate.
  • La Bastlera may delay payouts until the end of the statutory return/refund period (typically 14–30 days) and may withhold or cancel unpaid commissions in cases of fraud, violations, disputes, or reputational harm.

6. Affiliate Conduct

Affiliates must not:

  • engage in brand bidding on terms including “La Bastlera” or variations;
  • promote via coupon aggregators, “coupon reveal” sites, or deal directories;
  • use spam emails, forced clicks, misleading claims, fake scarcity, or unethical practices;
  • misrepresent the relationship with La Bastlera;
  • publish content that is illegal, discriminatory, or offensive.

Affiliates must comply with the rules of platforms where promotions are published (e.g., YouTube, Instagram, TikTok).

7. Marketing & Disclosure

Affiliates must clearly disclose affiliate relationships in accordance with EU and national advertising law. Recommended disclosure:

“This content contains affiliate links and a discount code provided by La Bastlera. I may earn a commission for qualifying purchases.”

Cookie-based tracking requires end-user consent in line with GDPR and local ePrivacy rules.

8. Intellectual Property

  • La Bastlera grants a limited, non-exclusive license to use approved promotional materials (links, banners, photos) solely for participation in the Program.
  • Affiliate retains all rights to their own content. La Bastlera receives a non-exclusive, royalty-free license to repost Affiliate content (with credit) for Program-related promotion during the term of this Agreement.
  • All trademarks and intellectual property remain with their respective owners.

9. Data Protection (GDPR)

  • La Bastlera acts as the Data Controller; GoAffPro acts as the Data Processor for tracking and Program administration.
  • Personal data (e.g., Affiliate name, contact, payout details; click/order IDs) is processed only for running the Program and making payouts.
  • Legal bases: legitimate interest (affiliate tracking) and contract performance (commissions).
  • Tracking cookies are valid for 30 days; Affiliates must comply with GDPR and platform policies in their own marketing (including cookie notices where applicable).

10. Term & Termination

  • Either party may terminate this Agreement at any time with written notice.
  • La Bastlera may terminate immediately in case of fraud, policy violations, or reputational risk.
  • Upon termination, no further commissions accrue; pending approved commissions will be paid according to Section 5.
  • In case of breach, La Bastlera may cancel outstanding commissions associated with the breach.

11. Liability

La Bastlera shall not be liable for indirect, incidental, special, consequential, or exemplary damages (including loss of profits or goodwill). La Bastlera’s total liability shall not exceed the total commissions paid to the Affiliate in the 12 months preceding the claim.

12. Governing Law & Jurisdiction

This Agreement is governed by the laws of the Czech Republic and applicable EU law. The language of this Agreement is English; in case of translation, the English version shall prevail. All disputes shall be resolved exclusively by the competent courts of the Czech Republic.

13. Modifications

La Bastlera may modify these Terms with at least 7 days’ notice. Continued participation after the effective date constitutes acceptance of the updated Terms.

14. Miscellaneous

  • Notices: Electronic notices to the email associated with the Affiliate account are deemed received.
  • Assignment: Affiliate may not assign rights or obligations without La Bastlera’s prior written consent.
  • Severability: If any provision is held invalid, the remainder remains in effect.
  • Entire Agreement: This Agreement constitutes the entire understanding for the Program and supersedes prior communications.

By applying to or participating in the Program, the Affiliate accepts these Terms.
